WEISENBERG PARENT-TEACHER ORGANIZATION BYLAWS

ARTICLE I: NAME

The name of  this organization is the Weisenberg Parent -Teacher organization, 2665 Golden Key Road, Kutztown, PA 19530.

Hereafter, the Weisenberg Parent-Teacher Organization will be referred to as the PTO.

ARTICLE II: PURPOSES

Section 1:   The purposes of the Weisenberg PTO are:

1.              To communicate pertinent information about the school to the parents and the community.

2.              To provide a relaxed atmosphere for the discussion of the needs of the students.

3.              To provide an opportunity for better communication and relationships between parents and teachers.

4.              To coordinate parent volunteers in all aspects of school life.

5.              To provide services and programs for the community and students.

6.              To sponsor informational programs for parents regarding school activities and curricula.

7.              To provide a forum for the distribution of information and an opportunity for interaction between the school
and community in an unbiased atmosphere.

8.              To promote the idea that learning is an enjoyable experience.

Section 2:   The organization is organized exclusively for the charitable and educational purposes within the meaning of Section 501 (c) (3) of the Internal Revenue Code or corresponding Section of any future Federal tax code.

ARTICLE III: MEMBERS & DUES

Section 1:   Family Membership - Dues for family membership shall include all members of the household.

Section 2:   Membership shall be made available without regard to race, color, creed, or national origin.

Section 3:   The PTO shall conduct an annual enrollment of members but may admit persons to membership at any time.

Section 4:   Each family of the PTO shall pay annual dues to said organization as may be prescribed by the organization.

Section 5:   Upon payment of dues, a person 18 years or older shall become a member of the PTO and shall be entitled to all privileges of membership, including holding office and voting.

Section 6:   In the case of voting to dissolve the PTO, the person shall have been a member for at least 90 days.

ARTICLE IV: OFFICERS AND THEIR DUTIES

Section 1:   Officers and their election:

a.  The officers of this organization shall consist of a president, a secretary and a treasurer.

b.  Officers shall be elected by ballot in the month of May. However, if there is but one nominee for any office, electron for that office may be by voice vote.

c.  Officers shall assume their official duties following the close of the meeting in May.

 Section 2:   Nominating Committee:

a.  There shall be a nominating committee composed of 3 members who shall be appointed by the Executive Committee. The nominating committee shall elect its own chairperson.

b.  The nominating committee shall nominate an eligible person for each office to be filled and report its nominees at the regular meeting in March, at which time additional nominations may be made from the floor.

c.  Only those persons who have signified their consent to serve if elected shall be nominated for or elected to such office.

Section 3:   Vacancies:

A vacancy occurring in any office shall be filled for the unexpired by appointment by the Executive Committee.

ARTICLE V: DUTIES OF OFFICERS

Section 1:   The president shall preside at all meeting of the organization and of the executive committee; shall perform such other duties as may be prescribed in these bylaws or assigned to him/her by the organization or by the executive committee; and shall coordinate the work of the officers and committees of the organization in order that the Purposes may be promoted.

Section 2:   The secretary shall record the minutes of all meetings of the organization and of the executive committee and shall perform such other duties as may be delegated to him/her.

Section 3:   The treasurer shall have custody of all of the funds of the organization; shall keep a full and accurate account of receipts and expenditures; and in accordance with the budget adopted by the organization, shall make disbursements as authorized by the president, executive committee or organization. The treasurer shall present a financial statement at every meeting of the organization and at other times when requested by the executive committee and shall make a full report at the meeting at which new officers officially assume their duties. The treasurer's accounts shall be examined annually by an auditing committee of not less than three members who are not authorized to sign checks. If satisfied that the treasurer's annual report is correct, they shall sign a statement of that fact at the end of the report. The auditing committee shall be selecting by the executive committee at a meeting at which new officers assume their duties.

Section 4:   All officers shall:

a.  Perform the duties in the parliamentary authority in addition to those outlined in these bylaws and those assigned from time to time.

b.  Deliver to their successors all official material at the meeting in which new officers assume their duties.

 

 

 

ARTICLE VI: EXECUTIVE COMMITTEE

Section 1:   The executive committee shall consist of the officers of the organization, the chairperson of the standing committees, and the principal of the school or a representative appointed by him/her. The chairperson of the standing committees shall be selected by the officers of the organization.

Section 2:   The duties of the executive committee shall be:

a.  To transact necessary business in the intervals between organization meetings and such other business as may
be referred to it by the organization.

b.  To create standing and special committees.

c.  To approve the plans of work of the standing committees.

d.  To present a report at the regular meetings of the organization.

e.  To select an auditing committee to audit the treasurer's accounts and a nominating committee.

f.  To prepare and submit to the organization for adoption a budget for the year.

g.  To approve routine bills within the limits of the budget.

Section 3:   Regular meetings of the executive committee shall be held at the president’s discretion. A majority of the executive committee members shall constitute a quorum.

ARTICLE VII: MEETINGS

Section 1:   Regular meetings of this organization shall be held at least every other month during the school year. Notice shall be given of meeting dates and times in the school newsletter.

Section 2:   The election meeting shall be held in May.

Section 3:   A majority of the members of the Executive Committee shall constitute a quorum for the transaction of business in any meeting of the organization.

ARTICLE VIII: STANDING & SPECIAL COMMITTEES

Section 1:   Only members of the organization shall be eligible to serve in any elective or appointed positions.

Section 2:   The executive committee may create such standing committees as it may deem necessary to promote the Purposes and carry on the work of the organization.

Section 3:   The chairperson of each standing committee shall present a plan of work of the executive committee for approval.                No committee work shall be undertaken without the consent of the executive committee.

ARTICLE IX: DISSOLUTION OF ORGANIZATION

The executive committee considering a recommendation to dissolve the PTO:

a.  Shall announce that a decision of and a vote on the dissolution will be taken at the next regular meeting.

b.  Shall call for a majority vote at the next regular meeting.

c.  Shall arrange for all outstanding bills to be paid and all remaining funds and property to be turned over to the Weisenberg Elementary School.

d.  Shall provide for the dissolution to take effect immediately after the dissolution is voted.
ARTICLE X: FISCAL YEAR

The fiscal year of the Weisenberg Parent-Teacher Organization shall be July 1 to June 30 inclusive.

ARTICLE XI: PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert's Rules of Order newly Revised shall govern the Weisenberg PTO.

ARTICLE XII: AMENDMENTS

Section 1:   These bylaws may be amended at any regular meeting of the organization by a two-thirds vote of the members present and voting, provided that notice of the proposed amendment shall have been given at least thirty days prior to the meeting at which the amendment is voted upon.

Section 2:   A committee may be appointed to submit a revised set of bylaws as substitute for the existing bylaws only by a majority vote at a meeting of the organization or by two-thirds of the executive committee. The requirements for adoption of a revised set of bylaws shall be the same as in the case of an amendment.

AMENDMENTS TO BYLAWS ARTICLE IV: OFFICERS AND THEIR DUTIES

Section 1:   Officers and their Election:

a.  The officers of this organization shall consist of a president, a secretary and a treasurer. In addition, a position of vice-president may be included with the officers.

c.  Officers shall assume their official duties following close of the June meeting.

Section 2:   Nominating Committee:

b.  The nominating committee shall nominate an eligible person for each office to be filled and report its nominees at the regular meeting in April, at which time additional nominations may be made from the floor.

ARTICLE V: DUTIES OF OFFICERS

Section 5:   If a vice-president is elected, the vice-president shall, in the absence of the president, preside at all meetings of the organization and of the executive committee; shall assist the president in performing such other duties as may be prescribed in these bylaws or assigned to him/her by the organization or by the executive committee.
